The Role

The role involves assisting the Legal department with legal and corporate secretarial activities, ensuring the company maintains compliance with international legislative and corporate governance requirements. This includes developing and maintaining accurate records, systems, and procedures while supporting the legal and corporate governance team. The role spans multiple jurisdictions, including North America, the UK and the Netherlands.

Key responsibilities include maintaining and updating statutory books for approximately 15 international subsidiaries and branches. The role also involves handling corporate secretarial tasks such as amending articles of association, processing company name changes, managing director and officer appointments or resignations, overseeing share transfers and pledges, and coordinating other company structure modifications. Additionally, you will ensure that business licenses and local registrations are maintained across the group, manage the payment of director fees, and assist in preparing board and shareholder minutes, corporate documents, and annual reports.

Further duties encompass supporting compliance, governance, and anti-corruption matters, including training when required. The role also involves drafting contracts, amendments, legal correspondence, and advisory notes. Additionally, you will provide support on litigation, commercial, and corporate matters, policy development, and managing KYC processes in collaboration with the Finance department. The position extends to handling departmental administrative tasks such as record-keeping, invoicing, and expense management, ensuring the smooth operation of the legal and corporate governance functions.

Requirements

  • 5 years+ legal and/or company secretarial experience, either in a reputable law firm or in-house team
  • Energy sector experience
  • Education; Degree level or equivalent, Chartered Governance Institute qualification or equivalent
