The Role
You will serve as the corporate secretary for one or more entities, organising and managing board meetings, and advising as to board authority and corporate governance matters. You will advise as to shareholder issues and manage the interface between the entity, the parent, and other affiliates.
Additionally, you will work closely with internal their clients and support their substantial and complex contracting and purchasing functions by drafting, reviewing, and negotiating EPC and construction contracts, O&M agreements, BOO/BOOT contracts, service agreements, and other commercial contracts and related agreements.
You also will advise as to internal policies, review and resolve claims, and provide training to company personnel on legal and compliance matters.
Requirements
- 6+ PQE US qualified
- Trained at a high-ranking US law firm and worked within a large corporation
- Relevant commercial contracts and corporate experience
- Experience within the Energy industry is preferred
